AME Terms of Service (For Adopters)

These Terms of Service (this “Agreement”) set out the terms on which Pet Loyalty Inc. (“AME,” “we,” or “us”) will provide access to and use of the Adoptions Made Easy (AME) proprietary platform for adoption management and payment processing. AME connects prospective adopters and owners (collectively, “Adopters”) with participating shelters, rescues, and adoption organizations (collectively, “Organizations”), and related services available on or through its websites, mobile applications, or digital interfaces (collectively, the “Service”).

You should read this Agreement carefully. By indicating acceptance of this Agreement or by otherwise using the Service, you are entering into a legally binding agreement with us (and you hereby represent that you are of legal age, and are otherwise fully able and competent, to enter into a binding agreement). If you are using the Service on behalf of an organization, you represent that you have the right to bind such organization to this Agreement, and the terms “User” and “you” will include both you, the individual user, and such organization. If you do not agree to these terms and conditions, you must not use the Service.

THIS AGREEMENT CREATES A BINDING LEGAL AGREEMENT BETWEEN YOU AND PET LOYALTY INC. AND INCLUDES AN ARBITRATION CLAUSE UNDER WHICH CERTAIN CLAIMS MAY NOT BE BROUGHT IN COURT OR DECIDED BY A JURY. PLEASE READ THIS AGREEMENT CAREFULLY.

PetSmart Charities Partnership

Pet Loyalty Inc. operates Adoptions Made Easy (AME) in partnership with PetSmart Charities. AME facilitates digital adoption and payment processing for adoptions occurring through participating shelters and PetSmart retail locations. Data and payments processed through AME may be shared with PetSmart Charities for legitimate operational, accounting, compliance, and reporting purposes, in accordance with applicable laws, the AME Privacy Policy, and applicable data-protection standards.

1. Nature of the Service

1.1 General

The Service allows Adopters to access certain information, listings, and other content (which may include data, text, photos, or other materials or content) related to adoption and payment transactions. It also permits participating Organizations to create, upload, store, and transmit information about available animals, donations, and adoption fees, and to process payments securely through integrated payment providers such as Stripe and ACH systems.

1.2 Organizations and Adopters

The Service provides a venue through which Organizations may communicate and transact with Adopters. Pet Loyalty Inc. does not own or control the Organizations or Adopters. Each Organization is responsible for its own representations, listings, pricing, and the adoption process itself. AME does not guarantee the adoption of any animal, the suitability of any Adopter, or the accuracy of information posted by any Organization.

1.3 Payments

All payments processed through AME, including adoption fees and donations, are handled securely through third-party payment processors such as Stripe or via ACH transfer. AME may collect processing fees or transaction charges as described in this Agreement. Adopters acknowledge that all financial transactions are final and subject to applicable Organization refund policies.

1.4 No Veterinary or Legal Advice

Information available through the Service does not constitute veterinary, medical, or legal advice. You are solely responsible for determining whether an adoption or donation transaction is appropriate for you and your household.

2. Registration

2.1 Accounts

You may be required to create an account to access certain features of the Service. You agree to provide accurate, current, and complete information in connection with your account and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

2.2 Account Security

You agree to notify AME immediately of any unauthorized use of your account or any other breach of security. Pet Loyalty Inc. and AME are not liable for any loss or damage arising from your failure to protect your password or account information.

3. Use of the Service

3.1 License

Subject to your compliance with this Agreement, Pet Loyalty Inc. grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal, non-commercial use.

3.2 Restrictions

You agree not to:

  • Reproduce, distribute, publicly display, or modify any portion of the Service without express written permission.
  • Use the Service for any illegal, fraudulent, or unauthorized purpose.
  • Interfere with or disrupt the Service, servers, or networks connected to it.
  • Use automated systems (including “robots,” “spiders,” or “offline readers”) to access the Service without written consent.
  • Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to it.

3.3 Modifications to the Service

Pet Loyalty Inc. reserves the right to modify or discontinue any part of the Service at any time, with or without notice. You agree that Pet Loyalty Inc. will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

4. Payments and Fees

4.1 General

Certain features of the Service may require payment of fees. By using such features, you agree to pay all applicable fees, taxes, and charges. All payments are non-refundable except as required by law. Payment terms are specified at the time of purchase or transaction.

4.2 Payment Processing

Payments made through AME are processed securely through third-party payment providers such as Stripe and may include ACH transactions for some shelters and partner organizations. Pet Loyalty Inc. is not responsible for payment-processing errors, system outages, or third-party service interruptions.

4.3 Processing Fees

A processing fee may be applied to transactions conducted through AME. The processing fee may vary depending on the type of transaction, payment method, and Organization configuration. Unless otherwise stated, the processing fee will be added to the total amount charged to the Adopter.

4.4 Refunds and Disputes

Refunds, reversals, or payment disputes are handled in accordance with the policies of the participating Organization. AME facilitates payment transmission but does not independently authorize or guarantee refunds. Adopters should contact the Organization directly for refund inquiries.

5. Ownership and Intellectual Property

5.1 Ownership

The Service, including all text, graphics, interfaces, images, trademarks, logos, and software, is the property of Pet Loyalty Inc. or its licensors. All rights, title, and interest in and to the Service remain the exclusive property of Pet Loyalty Inc.

5.2 License to You

Except as expressly provided in this Agreement, nothing grants you any right to use AME’s name, logo, trademarks, or other proprietary materials without prior written consent.

5.3 Feedback

You may choose to provide feedback, suggestions, or ideas about AME. You agree that Pet Loyalty Inc. may use such feedback for any purpose without compensation or attribution.

6. User Content

6.1 Your Content

You may submit, post, or upload content (“User Content”) through the Service. You retain ownership of your User Content, but grant Pet Loyalty Inc. a worldwide, royalty-free, transferable, sublicensable, perpetual, irrevocable license to use, reproduce, modify, distribute, and display your User Content as necessary to operate and improve the Service.

6.2 Responsibility for Content

You are solely responsible for your User Content and the consequences of submitting it. You agree not to upload or share any content that is unlawful, defamatory, obscene, harassing, discriminatory, or otherwise objectionable, or that infringes the intellectual-property rights of any third party.

Pet Loyalty Inc. reserves the right to remove any User Content that violates this Agreement or applicable law.

6.3 No Obligation to Monitor

Pet Loyalty Inc. does not control and is under no obligation to monitor the use of the Service or any User Content. However, Pet Loyalty Inc. reserves the right to review, edit, and remove any User Content at its sole discretion and to disclose any information necessary to satisfy applicable law, regulation, legal process, or governmental request.

7. Privacy

Your use of the Service is subject to the Pet LoyaltyPrivacy Policy, which explains how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

8. Third-Party Services

The Service may contain links or integrations to third-party websites, products, or services that are not owned or controlled by Pet Loyalty Inc. AME does not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services.

If you access any third-party website or service through AME, you do so at your own risk and understand that this Agreement and AME’s Privacy Policy do not apply to your use of such sites.

9. Disclaimers

The Service is provided “as is” and “as available.” Pet Loyalty Inc. and its suppliers disclaim all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Pet Loyalty Inc. does not warrant that:

  • the Service will be uninterrupted, error-free, secure, or free from viruses;
  • the results obtained from use of the Service will be accurate or reliable; or
  • any defects in the Service will be corrected.

You acknowledge that you use the Service at your own discretion and risk and that you will be solely responsible for any damage to your computer system, mobile device, or loss of data that results from your use of the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pet Loyalty Inc., its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages (including, but not limited to, loss of profits, goodwill, use, data, or other intangible losses) arising out of or relating to your use of, or inability to use, the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Pet Loyalty Inc. has been advised of the possibility of such damages.

In no event shall Pet Loyalty Inc.’s total liability for all claims related to the Service exceed the greater of:
(a) the amount you paid, if any, for access to the Service during the twelve (12) months preceding the claim, or
(b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

10A. Marketing Communications

By opting in, you agree that Pet Loyalty Inc. may use your contact information collected through Adoptions Made Easy (AME) to send you updates, newsletters, promotions, and information about related services, partner programs, and adoption opportunities.

You may withdraw your consent to receive marketing communications at any time by clicking the unsubscribe link in any email we send, by adjusting your notification settings within the AME platform (if available), or by contacting us directly at support@petloyalty.co.

We will never sell your personal information. All marketing use of your data is governed by the AME Privacy Policy and applicable data protection laws.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pet Loyalty Inc., its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including, but not limited to, attorney’s fees) arising from:

  • your access to or use of the Service;
  • your User Content;
  • your violation of any term of this Agreement; or
  • your violation of any third-party right, including any intellectual-property, privacy, or publicity right.

This defense and indemnification obligation will survive this Agreement and your use of the Service.

12. Termination

12.1 Termination by Pet Loyalty Inc.

Pet Loyalty Inc. may suspend or terminate your access to the Service at any time, with or without notice, for any reason or no reason, including if Pet Loyalty Inc. believes that you have violated this Agreement or acted inconsistently with the spirit of the Service.

Upon termination of your account, your right to access or use the Service will immediately cease. All provisions of this Agreement that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12.2 Termination by You

You may terminate your account at any time by deactivating it within your account settings or by contacting AME customer support. Upon termination, you remain responsible for any fees or charges incurred prior to termination and any obligations that by their nature are intended to survive termination.

13. Governing Law; Arbitration

13.1 Governing Law

This Agreement and any dispute arising out of or relating to this Agreement shall be governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-law principles.

13.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof—including the determination of the scope or applicability of this arbitration provision—shall be determined by binding arbitration before a single arbitrator. The arbitration shall be administered by the American Arbitration Association (AAA) in accordance with its rules.

The place of arbitration shall be Boston, Massachusetts, and the language of the arbitration shall be English. Judgment on the arbitration award may be entered in any court having jurisdiction.

13.3 Waiver of Class Actions

You and Pet Loyalty Inc. agree that any arbitration shall be conducted only on an individual basis and not in a class, collective, or representative action. The arbitrator shall have no authority to consolidate claims of multiple persons or to otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction in the Commonwealth of Massachusetts to prevent the actual or threatened infringement, misappropriation, or violation of that party’s intellectual-property rights.

13.5 Venue

Subject to the arbitration provision above, the parties agree that the exclusive jurisdiction for all disputes that are not required to be arbitrated shall be the state and federal courts located in Suffolk County, Massachusetts, and each party hereby waives any objection to venue or personal jurisdiction in such courts.

14. Electronic Communications

By using the Service, you consent to receive electronic communications from Pet Loyalty Inc., including notices about your account, changes to the Service, and updates to this Agreement. You agree that any notices, agreements, disclosures, or other communications that Pet Loyalty Inc. sends to you electronically satisfy any legal communication requirements, including that such communications be in writing.

15. Miscellaneous

15.1 Entire Agreement

This Agreement, together with the AME Privacy Policy and any additional terms to which you agree when using specific features of the Service, constitutes the entire agreement between you and Pet Loyalty Inc. concerning your use of the Service and supersedes all prior or contemporaneous understandings regarding such subject matter.

15.2 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect.

15.3 Waiver

Failure by Pet Loyalty Inc. to enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer this Agreement, by operation of law or otherwise, without Pet Loyalty Inc.’s prior written consent. Any attempt by you to assign or transfer this Agreement without such consent will be null and of no effect. Pet Loyalty Inc. may freely assign or transfer this Agreement without restriction.

15.5 Force Majeure

Pet Loyalty Inc. shall not be liable or responsible for any delay or failure in performance caused by acts beyond its reasonable control, including, but not limited to, natural disasters, acts of government, flood, fire, earthquakes, civil unrest, terrorism, strikes, labor disputes, or failures of telecommunications or internet service providers.

15.6 No Agency

Nothing in this Agreement shall be construed as creating a partnership, joint venture, employment, or agency relationship between you and Pet Loyalty Inc.

All notices required or permitted under this Agreement must be in writing and sent to:

17. Changes to This Agreement

Pet Loyalty Inc. may revise this Agreement from time to time. The most current version will always be posted on the AME website, and the “Effective Date” at the top will indicate when the terms were last updated.

If we make a material change to this Agreement, we will notify you by email or by posting a prominent notice on the Service before the changes take effect. Your continued use of the Service after any such update constitutes your acceptance of the modified terms.

18. Interpretation

Headings in this Agreement are for convenience only and shall not affect the interpretation of any provision. Words importing the singular shall include the plural and vice versa. References to “including” or “includes” shall be deemed to mean “including, without limitation.”

19. Survival

All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
